Ares Commercial Real Estate Corporation ("ACRE") (NYSE:ACRE) is a specialty finance company primarily engaged in principal lending and mortgage banking of commercial real estate ("CRE") investments. Through its national direct origination platform, ACRE provides a broad offering of flexible financing solutions for commercial real estate owners and operators. Through its mortgage banking subsidiary, ACRE Capital, it originates, sells and services multifamily and senior living related loans under programs offered by government and government-sponsored enterprises (collectively, "GSEs"), such as the Federal National Mortgage Association ("Fannie Mae"), the Federal Home Loan Mortgage Corporation ("Freddie Mac"), the Government National Mortgage Association ("Ginnie Mae") and the Federal Housing Administration, a division of the U.S. Department of Housing and Urban Development (together with Ginnie Mae, "HUD"). ACRE elected and qualified to be taxed as a real estate investment trust and is externally managed by an affiliate of Ares Management, L.P. ("Ares"), a publicly traded, leading global alternative asset manager with approximately $86 billion of assets under management ("AUM")(1) as of December 31, 2014.

(1) Ares Management is the parent to several registered investment advisers, including Ares Commercial Real Estate Management. AUM refers to the assets of the funds, alternative asset companies and other entities and accounts that are managed or co-managed by Ares. For Ares funds other than collateralized loan obligations ("CLOs"), AUM represents the sum of the net asset value of such funds, the drawn and undrawn debt (at the fund-level including amounts subject to restrictions) and uncalled committed capital (including commitments to funds that have yet to commence their investment periods). For Ares funds that are CLOs, AUM represents subordinated notes (equity) plus all drawn and undrawn debt tranches. AUM amounts are as of December 31, 2014 and pro forma for Ares’ acquisition of Energy Investors Funds ("EIF"), which closed on January 1, 2015.
